Studio Service Agreement

If We Die We Die Co LLC Effective Date: August 1, 2026

This Agreement is between If We Die We Die Co LLC ("Studio") and the client booking services ("Client"). It applies to the current booking and all future bookings and services until replaced in writing by a newer version. By booking a session or service with the Studio, Client agrees to these terms.

1. Bookings

Sessions and services are booked through the Studio's online scheduling system or by direct written arrangement. Each booking confirmation (email or text) states the date, time, room or service, and rate, and is incorporated into this Agreement.

2. Deposits, Payment & Card Authorization

A deposit is required to secure each booking, including before any planning or consultation work begins on Creative Media projects. The remaining balance is invoiced and due upon receipt. Payments are processed by Square and appear on card statements as SQ* If We Die We Die Co. By booking, Client authorizes the Studio to charge Client's provided payment method for deposits, session balances, and services requested by Client, and confirms that Client is the cardholder or has the cardholder's permission to use the card.

3. Cancellation & Rescheduling

Cancellations or reschedules made with at least 24 hours' written notice (email or text to the Studio's business contacts) receive a full deposit refund or credit toward rebooking. Cancellations inside 24 hours and no-shows forfeit the deposit. Sessions begin and end at the booked times; late arrival does not extend the session. If the Studio must cancel or reschedule for any reason — including engineer or contractor illness, equipment failure, loss of power or internet, or other circumstances beyond the Studio's control — the Studio will reschedule at the earliest time workable for both parties or, if no such time can be agreed, refund the deposit in full.

4. Recording Sessions

(a) What Client receives. For each project worked during booked session time, Client receives an exported stereo mix ("2-track") reflecting the project's state at the end of the session. Raw session files are available upon written request. Deliverables are sent electronically to the Client's email on file.

(b) Scope. A recording session is a booking of a room, an engineer, and a block of time. Engineers apply differing amounts of processing in the course of tracking. A session does not guarantee a finished, mixed, or mastered work. Mixing and mastering are separate services.

(c) Capacity. Studio A accommodates up to 7 people; Studio B up to 4. Non-smoking facility.

(d) File storage. The Studio stores session files for 120 days after the session date and may delete them afterward without notice. Extended storage is available on request.

5. Creative Media Services

(a) What Client receives. Finished projects only, delivered in 4K MP4 via Google Drive to the Client's email on file. Raw footage is not delivered.

(b) Photography. Photo sessions deliver 10 fully edited photographs per hour booked.

(c) Turnaround. Initial delivery is 5–7 business days (except Music Videos which are 7—14 business days), counted from the shoot date.

(d) Revisions. Two rounds of revisions are included. A "round" means any set of changes requested after a version has been delivered. Revision requests must be submitted in writing within 7 days of delivery of the version being revised; requests after that window are new billable work. Revised versions are returned within 5-7 business days of the request. Additional rounds beyond the two included are billed at $100 per hour.

(e) Formats. Deliverables are provided in one aspect ratio, selected before the shoot. Additional aspect ratios, alternate cuts, or re-edits for other platforms are new billable work and do not count as a revision round.

(f) On-location work. The Studio travels up to 60 miles from 401 Scott Street, Covington, KY at no additional charge. Beyond 60 miles, travel is billed at $1.00 per additional mile (round trip). Client is responsible for securing all location permits and property owner permissions. The Studio is not responsible for delays, cancellations, or costs arising from permissions Client has not obtained.

(g) Discovery Call. A complimentary 15–30 minute discovery call is available for larger projects or services not listed on the Studio's booking page. Planning and consultation work beyond that call requires a deposit.

6. Acceptance & Additional Work

Deliverables reflect the work completed within the booked session or service scope. Additional recording, editing, mixing, shooting, or revision beyond what is described above constitutes new billable work unless otherwise agreed in writing. Deliverables are considered accepted unless Client reports a technical defect (for example, a corrupted or incomplete file) in writing within 5 days of delivery. Client's receipt of any deliverable is Client's acknowledgment that the services and deliverables were provided as described and are satisfactory, except as to a technical defect reported within that 5-day window.

7. Ownership

Client owns their underlying songs, performances, and likeness. All recordings, session files, footage, images, and exports created by the Studio remain Studio property until payment in full is received, at which point ownership of the delivered work transfers to Client. If any payment is later reversed, refunded outside this Agreement, or charged back, rights in the affected deliverables revert to the Studio and continued use of them is unauthorized until the balance is resolved.

8. Billing Questions & Disputes

Client agrees to contact the Studio first (studios@iwdwdco.com or (513) 445-4426) to resolve any billing question before initiating a card dispute. Client acknowledges that this Agreement, booking confirmations, delivery records, and related communications may be provided to payment processors and card issuers as evidence in any payment dispute, and that amounts reversed for services actually provided remain due and payable. If any balance remains unpaid, or is reversed or charged back after services have been provided, Client is responsible for the Studio's reasonable costs of recovering it, including collection fees, court costs, and attorney's fees.

9. Studio & Conduct

Client is responsible for their guests and for any damage to Studio equipment or property beyond normal wear.

10. General

This Agreement is governed by the laws of the Commonwealth of Kentucky. Any disputes arising from these terms or our services shall be resolved in the appropriate courts of Kenton County, Kentucky. Changes must be made in writing. Electronic acceptance, including checkbox acceptance during online booking, is valid and binding.
